data-contrast=\"none\">ebblo\u00a0Switzerland GmbH,\u00a0ebblo\u00a0Germany GmbH und\u00a0Modaxo\u00a0Group Germany GmbH<\/span><\/b><span data-contrast=\"auto\">\u00a0(hereafter\u00a0the\u00a0\u201c\u00a0Modaxo\u00a0Company\u201d\u00a0or \u201cModaxo\u201d)\u00a0&#8211;\u00a0on behalf of itself and for the benefit of\u00a0its Affiliates\u00a0&#8211;\u00a0\u00a0and the entity\u00a0(\u201cSupplier\u201d)\u00a0&#8211;\u00a0on behalf of itself, and for the benefit of its Affiliate\u00a0&#8211;\u00a0accepting the\u00a0Purchase Order\u00a0incorporating\u00a0these\u00a0terms\u00a0(\u201cPurchasing Terms\u201d)\u00a0as well as to\u00a0any other\u00a0agreement\u00a0concluded on the basis of the\u00a0Purchasing Terms.\u00a0Supplier may accept\u00a0that the Purchasing Terms shall govern the\u00a0Contract\u00a0\u00a0either\u00a0by\u00a0accepting\u00a0the\u00a0Purchase Order expressly and\/or\u00a0by fulfilling a Purchase Order\u00a0submitted by\u00a0the\u00a0Modaxo\u00a0Company incorporating the\u00a0Purchasing\u00a0Terms.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">No terms or conditions\u00a0submitted\u00a0at any time by the Supplier shall form any part of the\u00a0Contract.\u00a0In the event of\u00a0a conflict between any of these\u00a0Purchasing\u00a0Terms\u00a0and any specific term or condition (whether in the Contract or otherwise) referred to in the Purchase Order, the latter shall prevail.<\/span><\/p>\n<ol>\n<li>\n<h4><b><span data-contrast=\"auto\">Definitions<\/span><\/b><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/h4>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">Affiliate<\/span><\/b><span data-contrast=\"auto\">\u201d means any person,\u00a0corporation\u00a0or other entity that now or in the future, directly or indirectly controls, is controlled by or is under common control with a party. For purposes of this definition, \u201ccontrol\u201d means with respect to: (a) a corporation, the ownership, directly or indirectly, of fifty percent (50%) or more of the voting power to elect directors thereof or, for purposes of foreign corporations, if less than fifty percent (50%), the amount allowed by applicable law; and (b) any other entity, the power to direct the management of such entity.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><b><span data-contrast=\"auto\">\u201cBusiness Days\u201d<\/span><\/b><span data-contrast=\"auto\">\u00a0means the days\u00a0Monday to Friday.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><b><span data-contrast=\"auto\">\u201cBusiness Hours\u201d<\/span><\/b><span data-contrast=\"auto\">\u00a0means\u00a0unless otherwise agreed in the\u00a0Contract,\u00a0\u00a08\u00a0a.m. to\u00a06\u00a0p.m.\u00a0 in\u00a0the country where the\u00a0Modaxo\u00a0Company is\u00a0located.\u00a0<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">Contract<\/span><\/b><span data-contrast=\"auto\">\u201d means the contract between\u00a0the\u00a0Modaxo\u00a0Company\u00a0and the Supplier consisting of the Purchase Order, these Conditions, and any other documents (or parts thereof) specified in the Purchase\u00a0Order.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><b><span data-contrast=\"auto\">\u201cDefective Offering\u201d<\/span><\/b><span data-contrast=\"auto\">\u00a0means\u00a0an Offering that does not meet the contractually agreed requirements, is not suitable for the use specified in the Purchase Order, is incomplete or misses necessary accessories and instructions.\u00a0The contractually agreed requirements include the type, quantity, quality, functionality, compatibility,\u00a0interoperability,\u00a0and other features of the Offering.\u00a0And an Offering that is not suitable for normal\u00a0use or\u00a0misses a quality which is customary for items of the same type and which a purchaser can expect.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">&#8220;<\/span><b><span data-contrast=\"auto\">Delivery Date<\/span><\/b><span data-contrast=\"auto\">\u201d means the date on which the Hardware is to be delivered to\u00a0Modaxo\u00a0Company\u00a0and \/ or any End User, as specified in the Purchase Order.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">Effective Date<\/span><\/b><span data-contrast=\"auto\">\u201d means the earlier of: (i) the first Purchase Order, Order Effective Date;\u00a0(ii)\u00a0the date of acceptance of the terms of this agreement by Supplier.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">End Users<\/span><\/b><span data-contrast=\"auto\">\u201d means customers of\u00a0the\u00a0Modaxo\u00a0Company\u00a0or the applicable Affiliate, that\u00a0purchase\u00a0the Offering.\u00a0\u00a0<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">Hardware<\/span><\/b><span data-contrast=\"auto\">\u201d\u00a0means any such hardware supplied to\u00a0the\u00a0Modaxo\u00a0Company\u00a0and \/ or the End User\u00a0by the Supplier\u00a0pursuant to\u00a0or in connection with the Purchase Order.\u00a0<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">License<\/span><\/b><span data-contrast=\"auto\">\u201d means license to Supplier\u2019s software that are\u00a0deemed\u00a0to be\u00a0fully paid up following\u00a0Modaxo\u00a0Company\u2019s\u00a0payment of the amount\u00a0stated\u00a0in the Purchase Order.\u00a0<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">Order Confirmation<\/span><\/b><span data-contrast=\"auto\">\u201d means Supplier\u2019s written confirmation that the Purchase Order has been accepted and will be fulfilled.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">Offering<\/span><\/b><span data-contrast=\"auto\">\u201d means the Licenses, Subscriptions, Hardware and Professional Services made available by Supplier for Modaxo for own use and\/or to resell to End Users, stand alone or together with Modaxo\u2019s products and\/or services.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">Price<\/span><\/b><span data-contrast=\"auto\">\u201d means the price of the Offering as specified in the Purchase\u00a0Order.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">Purchase Order<\/span><\/b><span data-contrast=\"auto\">\u201d means\u00a0Modaxo\u00a0Company\u2019s\u00a0offer to\u00a0purchase\u00a0the\u00a0Offering\u00a0of the type, quantity, and price set forth\u00a0therein, subject to these\u00a0Purchasing Terms.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">Quotation<\/span><\/b><span data-contrast=\"auto\">\u201d means Supplier\u2019s price for\u00a0Licenses, Subscriptions,\u00a0Hardware\u00a0and Professional Services. Quotations may be made using a price sheet or may be specific to an\u00a0End User.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><b><span data-contrast=\"auto\">\u201cServices<\/span><\/b><span data-contrast=\"auto\">\u201d means\u00a0any\u00a0the services (or any part of them) to be provided as specified, including any\u00a0support and maintenance,\u00a0planning, preliminary or preparatory work,\u00a0pursuant to\u00a0or in connection with the Purchase Order.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">Subscriptions<\/span><\/b><span data-contrast=\"auto\">\u201d means any services, maintenance, SaaS, PaaS, IaaS, or any other non-fully\u00a0paid-up\u00a0software that requires\u00a0renewals\u00a0upon\u00a0expiration\u00a0of the term of the relevant\u00a0Modaxo\u00a0Company\u2019s\u00a0 Purchase\u00a0Order.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">\u201c<\/span><b><span data-contrast=\"auto\">Territory<\/span><\/b><span data-contrast=\"auto\">\u201d means\u00a0&#8211;\u00a0unless otherwise agreed in writing-\u00a0worldwide.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/li>\n<li>\n<h4><b><span data-contrast=\"auto\">Supplier Obligations\u00a0<\/span><\/b><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/h4>\n<ol>\n<li><span data-contrast=\"auto\">The Supplier shall: <\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span>\n<ol>\n<li><span data-contrast=\"auto\">use commercially reasonable endeavors to respond to any requests for accurate Quotations which will remain valid for a minimum of thirty (30) calendar days. <\/span><span thereof and \/or the End User, as specified in the Purchase Order. <\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/li>\n<li><span data-contrast=\"auto\">ensure that each Offering delivered is strictly in accordance with the Purchase Order, including item, quantity, price, and delivery location.<\/span><\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<\/li>\n<li>\n<h4><b><span data-contrast=\"auto\">Appointment of Reseller Status<\/span><\/b><span data-contrast=\"auto\">\u00a0<\/span><\/h4>\n<ol>\n<li>The Supplier hereby appoints Modaxo as an authorized reseller of the Offering to End Users and grants Modaxo all the necessary distribution and IPR-rights to entitle Modaxo to sell the Offering to the End Users;\u00a0\u00a0the Modaxo Company hereby accepts such appointment. <span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/li>\n<li>The Supplier hereby consents to the Affiliates of the Modaxo Company\u00a0 participating in this Supplier acknowledges and agrees that a Modaxo Affiliate shall have the right to acquire Offerings under this agreement by submitting a Purchase Order referencing the same under the same conditions of the Modaxo Company.<\/span><\/li>\n<li><span data-contrast=\"auto\">When a Modaxo Company Affiliate submits and the Supplier accepts such a Purchase Order, such Affiliate will be:<\/span><span BCX8\">\u2019s rights under th<\/span><span class=\"NormalTextRun SCXW152535524 BCX8\">e Purchasing Terms and the applicable Purchase\u00a0<\/span><span class=\"NormalTextRun ContextualSpellingAndGrammarErrorV2Themed SCXW152535524 BCX8\">Order,<\/span><\/span><\/li>\n<li><span class=\"NormalTextRun SCXW268285634 BCX8\">and bound to the\u00a0<\/span><span class=\"NormalTextRun SCXW268285634 BCX8\">Purchasing\u00a0<\/span><span class=\"NormalTextRun ContextualSpellingAndGrammarErrorV2Themed SCXW268285634 BCX8\">Terms\u00a0<\/span><span class=\"NormalTextRun ContextualSpellingAndGrammarErrorV2Themed SCXW268285634 BCX8\">t<\/span><span class=\"NormalTextRun SCXW268285634 BCX8\">\u00a0and the applicable Purchase Order<\/span><\/li>\n<\/ol>\n<\/li>\n<li><span data-contrast=\"auto\">When an Affiliate of\u00a0Modaxo\u00a0purchases Offerings for resale under this agreement (i) all references to\u00a0the\u00a0\u201c\u00a0Modaxo\u00a0Company\u201d in this agreement shall refer to such Affiliate; and (ii) the\u00a0Purchasing Terms\u00a0shall apply\u00a0together with each Purchase Order.\u00a0<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/li>\n<li><span data-contrast=\"auto\">Purchase Orders submitted by a Modaxo Affiliate shall represent a separate agreement between Supplier and the Modaxo Affiliate.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/li>\n<li><span data-contrast=\"auto\">If applicable, Purchase Orders submitted by a Modaxo Affiliate will apply toward Modaxo Company\u2019s cumulative volume and it will receive the same or better discount will be deemed to be country-specific terms and will not be construed as amending this agreement in any way other than for the purposes of such locally agreed upon terms and conditions. <\/span><span The Supplier shall\u00a0remedy\u00a0any defects or deficiencies\u00a0in the event of\u00a0any failure (in the sole opinion of\u00a0Modaxo\u00a0Company) to\u00a0comply with\u00a0the terms of the Purchase Order or the Contract\u00a0or applicable laws. No failure to make a complaint at the time of such inspection or\u00a0tests\u00a0and no approval given during or after such tests or inspections shall constitute a waiver by\u00a0the\u00a0Modaxo\u00a0Company\u00a0of any rights or remedies in respect of the\u00a0delivery.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/li>\n<li><span data-contrast=\"auto\">The Modaxo Company may reject Defective Offerings and any part of the Offering which fail to meet the requirements in the Contract. possible<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">\u00a0(but latest\u00a0<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">within a time period set by\u00a0<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">the\u00a0<\/span><span class=\"NormalTextRun SpellingErrorV2Themed SCXW179413359 BCX8\">Modaxo<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">\u00a0Company<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">\u00a0or within a reasonable time period if no express time period has been set<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">)<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">\u00a0or (as\u00a0<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">the\u00a0<\/span><span class=\"NormalTextRun SpellingErrorV2Themed SCXW179413359 BCX8\">Modaxo<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">\u00a0Company<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">\u00a0<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">shall elect in its sole discretion) replace the defective\u00a0<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">Offering<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">\u00a0with\u00a0<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">an Offering<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">\u00a0which comply in all respects with the requirements under the Contract<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">\u00a0<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">within a time period set by\u00a0<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">the\u00a0<\/span><span class=\"NormalTextRun SpellingErrorV2Themed SCXW179413359 BCX8\">Modaxo<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">\u00a0Company<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">\u00a0or within a reasonable time period if no express time period has been set<\/span><span class=\"NormalTextRun SCXW179413359 BCX8\">;\u00a0<\/span><\/li>\n<li>I<span class=\"NormalTextRun SCXW231398895 BCX8\">f the Supplier does not repair or replace the defective Offering within the set or reasonable period of time or if this is impossible,\u00a0<\/span><span class=\"NormalTextRun SCXW231398895 BCX8\">the\u00a0<\/span><span class=\"NormalTextRun SpellingErrorV2Themed SCXW231398895 BCX8\">Modaxo<\/span><span class=\"NormalTextRun SCXW231398895 BCX8\">\u00a0Company<\/span><span class=\"NormalTextRun SCXW231398895 BCX8\">\u00a0has the right to withdraw from the Purchase Order and to demand\u00a0<\/span><span class=\"NormalTextRun SCXW231398895 BCX8\">refund<\/span><span class=\"NormalTextRun SCXW231398895 BCX8\">\u00a0of the price of the defective Offering<\/span><span class=\"NormalTextRun SCXW231398895 BCX8\">, )<\/span><span class=\"NormalTextRun SCXW231398895 BCX8\">\u00a0or (as\u00a0<\/span><span class=\"NormalTextRun SpellingErrorV2Themed SCXW231398895 BCX8\">Modaxo<\/span><span class=\"NormalTextRun SCXW231398895 BCX8\">\u00a0Company<\/span><span class=\"NormalTextRun SCXW231398895 BCX8\">\u00a0<\/span><span class=\"NormalTextRun SCXW231398895 BCX8\">shall elect in its sole discretion)<\/span><span class=\"NormalTextRun SCXW231398895 BCX8\">, reduce the price of the Offering<\/span><span class=\"NormalTextRun SCXW231398895 BCX8\">.<\/span><\/li>\n<\/ol>\n<\/li>\n<li><span data-contrast=\"auto\">Unless otherwise\u00a0stated\u00a0in the Purchase Order, the Supplier shall\u00a0guarantee\u00a0the Hardware for a period of\u00a0twenty-four\u00a0(24) months from\u00a0acceptance\u00a0or\u00a0thirty\u00a0six\u00a0(36) months from delivery, whichever shall be the\u00a0longer.\u00a0For Services and Software including any Licenses or Subscriptions, the Supplier\u00a0shall\u00a0provide a\u00a0guarantee\u00a0period\u00a0in excess of\u00a0thirty-six Offering does\u00a0not infringe any patent, trade mark, design right (whether registered or not), copyright,\u00a0industrial rights, supplementary related rights under competition law\u00a0or any other right in the nature of intellectual property of any third party\u00a0in any\u00a0relevant\u00a0Territory\u00a0for the delivery.\u00a0Inter alia, the\u00a0Supplier shall indemnify and keep indemnified\u00a0Modaxo\u00a0and its Affiliate\u00a0against\u00a0all actions, suits, claims, demands, losses, charges,\u00a0costs\u00a0and expenses (including legal expenses and disbursements) which\u00a0the\u00a0Modaxo\u00a0Company\u00a0may suffer or incur\u00a0as a result of\u00a0or in connection with any breach of this Condition.\u00a0With regard to\u00a0claims resulting from an\u00a0infringement of the aforementioned\u00a0rights\u00a0the\u00a0statute of\u00a0limitations shall not\u00a0apply\u00a0and\u00a0the Supplier waives the defense of\u00a0statute of\u00a0limitations..\u00a0This waiver shall apply for an unlimited\u00a0period of time\u00a0and for claims of any amount.\u00a0The Supplier shall inform\u00a0Modaxo\u00a0immediately\u00a0if it If the Supplier fails to provide the evidence of the valid licenses within 14 days from receipt of the request by Modaxo, Modaxo shall be entitled to procure and charge the Supplier for the relevant SEP licenses fees.\u00a0\u00a0In any case the Supplier shall indemnify and shall hold the Modaxo Company harmless from any claim regarding infringement of Standard Essential Patents by the Products brought against the Modaxo Company or its End Users directly or indirectly by any third party.<\/span><span data-contrast=\"auto\">\u00a0<\/span><span data-contrast=\"auto\">If the Supplier enters into further SEP licenses during the Contract, the Supplier is not entitled to increase its prices to Modaxo to reflect increased royalty costs. Modifications, changes and further developments of Intellectual property in relation to the Contract\u00a0\u00a0shall be made for the exclusive use, benefits and exploitation by the Modaxo Company. Confidential Information includes, but is not limited to,\u00a0any information labeled \u201cConfidential\u201d or \u201cProprietary,\u201d business plans, strategies, forecasts, analyses, financial information, employee information, technology information, trade secrets, products, technical data, specifications, documentation, rules and procedures, methods, contracts, presentations, know-how, product plans, business methods, product functionality, data, customers, markets, competitive analysis, databases, formats, methodologies, applications, developments, inventions, processes, payment, delivery and inspection procedures, designs, drawings, algorithms, formulas or information relating to engineering, marketing, or finance and any other information that the Recipient should reasonably believe to be confidential given the circumstances.\u00a0<\/span><span data-ccp-props=\"{&quot;335551550&quot;:6,&quot;335551620&quot;:6}\">\u00a0<\/span><\/li>\n<li><b><i><span data-contrast=\"auto\">Confidentiality Obligations<\/span><\/i><\/b><span data-contrast=\"auto\"> &#8211;<\/span> Each party acknowledges that certain information it will receive from the other party may be Confidential Information of the other party. Recipient and its personnel may only use Discloser\u2019s Confidential Information to the extent necessary to fulfill its obligations under this Contract during the term.
